Kondra Terms of Service

1. Acceptance of Terms

By accessing and using the Kondra document automation platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. In that case, “you” and “your” will refer to the organization. If you do not agree to all of these Terms, do not use the Service.

2. Description of Service

Kondra provides an intelligent document automation platform that allows you to streamline document-related workflows, including data extraction, processing, and management. You may use the Service for internal business purposes or for the purposes for which it is provided.

3. User Accounts

  • Account Creation: To access the Service, you must register for an account. You agree to provide accurate, complete, and up-to-date information during the registration process.
  • Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify Kondra immediately of any unauthorized use of your account.
  • Responsibility: You acknowledge and agree that Kondra will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. User Responsibilities & Conduct

You agree not to misuse the Service or assist anyone else in doing so. This includes, but is not limited to:

  • Using the Service for any unlawful purpose or in violation of any applicable Canadian federal, provincial, or local laws or regulations.
  • Uploading or transmitting any malicious code, viruses, or other harmful content.
  • Attempting to gain unauthorized access to the Service, user accounts, or computer systems.
  • Interfering with the normal operation of the Service.
  • Using the Service to send unsolicited commercial messages (spam).

5. Intellectual Property

  • Kondra's Property: The Service, including its software, content, visual design, and all intellectual property rights related to it, is the exclusive property of Kondra. You may not copy, modify, distribute, sell, or lease any part of our Service.
  • Your Content: You retain ownership of all documents, data, and content that you upload to the Service ("Your Content"). You grant Kondra a limited license to use, host, reproduce, and transmit Your Content solely for the purpose of providing and improving the Service to you.

6. Confidentiality & Data Privacy

Your privacy is important to us. Kondra will collect, use, and disclose your personal information in accordance with our Privacy Policy. We are committed to protecting Your Content and will not share it with third parties, except as required by law or as necessary to provide the Service to you. Our data practices are designed to comply with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA).

7. Payment & Billing

Access to certain features of the Service may require a paid subscription. You agree to pay all applicable fees and taxes. Fees are non-refundable unless otherwise specified in your agreement. Kondra may change its fees at any time, but will provide you with prior notice of any changes.

8. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Kondra does not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Kondra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; or (d) any other matter relating to the Service.

10. Termination

Kondra may terminate or suspend your account and access to the Service at any time, without notice or liability, for any reason, including if you breach these Terms. You may also terminate your account at any time by following the instructions on the Service. Upon termination, your right to use the Service will immediately cease.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Calgary, Alberta to resolve any legal matter arising from these Terms.

12. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and Kondra regarding your use of the Service. The failure of Kondra to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
